The Trustees

The legal custodians and guiding authority of DAYSPRING HEART CARE, established under the Companies and Allied Matters Act.

Registered Trustees

The Trustees of the Foundation, for the purposes of the Companies and Allied Matters Act No. 1 of 1990, shall be seven (7) in number. They shall be appointed at a General Meeting by a two‑thirds (2/3) majority vote of members present.

The Trustees shall apply to the Corporate Affairs Commission (the Commission) for a Certificate of Incorporation. Once incorporated, they shall be officially known as “THE REGISTERED TRUSTEES DAYSPRING HEARTCARE AND SUPPORT FOUNDATION”.

Appointment & Vacancies

  • Additional Trustees may be appointed by the General Meeting as deemed fit.
  • Upon a vacancy, a General Meeting will be convened to appoint another eligible member.

Tenure of Office

  • Each Trustee shall hold office for life.

Cessation of Office

  • A Trustee shall cease to hold office if they:
  • Resign their office; or
  • Cease to be a member of the Foundation; or
  • Become insane; or
  • Are officially declared bankrupt; or
  • Are convicted of a criminal offence involving dishonesty by a competent court.

Common Seal

The Trustees shall have a Common Seal. This seal shall be kept in the custody of the Secretary, who shall produce it when required for use by the Trustees.

All documents to be executed by the Trustees shall be signed by the Chairman of the Trustees and the Secretary (or any other Trustee in the absence of the Secretary) and sealed with the Common Seal.
